1. Acceptance of Terms

By creating an account or using Postrivio ("the Service", "we", "us", or "our"), you ("User", "you") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you must not use the Service. These Terms constitute a legally binding agreement between you and Postrivio.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are 18 or older, have the legal capacity to enter into these Terms, and are not prohibited from using the Service under any applicable law.

3. Description of Service

Postrivio is an AI-powered social media management platform that provides:

AI-generated content creation (text, images, and video) for social media posts
Campaign planning and management tools
Automated and scheduled posting to connected social media platforms
Performance analytics and engagement reporting
AI marketing strategy recommendations
Social listening, competitor tracking, and trend analysis
Workflow automation and approval systems

The Service currently supports posting to Instagram, Facebook, Twitter/X, LinkedIn, TikTok, YouTube, Pinterest, Bluesky, and Threads. Platform availability is subject to change based on third-party API access and platform policies.

4. Account Registration

You must register for an account to access most features. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Keep your password confidential and not share it with third parties
Be solely responsible for all activity that occurs under your account
Notify us immediately at support@postrivio.com of any unauthorized account use

We reserve the right to refuse registration or cancel accounts at our discretion.

5. Subscription Plans and Billing

5.1 Plans

We offer three subscription tiers: Starter ($40/month), Entrepreneur ($80/month), and Pro ($160/month). Each plan includes a monthly credit allowance that resets at the start of each billing cycle. Plan features and limits are described on our Pricing page and may be updated with notice.

5.2 Billing

Subscription fees are billed in advance on a monthly basis via Stripe. By subscribing, you authorize us to charge your payment method automatically at the start of each billing cycle. All fees are in US dollars.

5.3 Cancellation

You may cancel your subscription at any time through your account profile page. Cancellation takes effect at the end of your current billing period — you retain access until then. We do not offer prorated refunds for mid-cycle cancellations.

5.4 Price Changes

We reserve the right to change subscription pricing with at least 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5.5 Refunds

All fees are non-refundable except as required by applicable law or as expressly stated in these Terms. If you believe you have been incorrectly charged, please contact us within 30 days of the charge.

6. Social Media Platform Connections

To post content on your behalf, you must connect your social media accounts to the Service via OAuth authorization. By connecting an account, you:

Grant us permission to create, schedule, and publish posts on your behalf
Authorize us to retrieve analytics and engagement data for connected accounts
Confirm that you own or have legal authority over the connected social media accounts
Acknowledge that your use of connected platforms remains subject to those platforms' own terms of service

You may disconnect social accounts at any time through your account settings. We are not liable for any issues arising from platform API changes, account suspensions, or violations of third-party platform policies.

7. AI-Generated Content

Our Service uses artificial intelligence (via OpenAI and Anthropic APIs) to generate text, images, and video content. Regarding AI-generated content:

You are solely responsible for reviewing AI-generated content before publishing
We do not guarantee the accuracy, appropriateness, or originality of AI-generated content
AI-generated content may not always reflect your brand voice or intended message
You must not use AI-generated content to create misleading, defamatory, or illegal material
We are not liable for any harm resulting from AI-generated content that you choose to publish
Images and videos generated by AI tools are subject to the terms of the underlying AI providers

8. Content Ownership and License

8.1 Your Content

You retain all ownership rights to content you create, upload, or publish using the Service ("Your Content"). You grant Postrivio a limited, non-exclusive, worldwide, royalty-free license to store, process, and transmit Your Content solely to provide the Service to you.

8.2 Our Intellectual Property

The Service, including its design, code, trademarks, and all content we create, is owned by Postrivio and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

9. Acceptable Use Policy

You agree NOT to use the Service to:

Post or distribute illegal, defamatory, obscene, or harmful content
Harass, threaten, or intimidate any person or group
Send spam, unsolicited messages, or engage in phishing
Infringe on intellectual property rights of any third party
Violate the terms of service of any connected social media platform
Use automated means to access the Service beyond what is provided
Attempt to gain unauthorized access to any system or network
Distribute malware, viruses, or any malicious code
Engage in market manipulation, fraudulent advertising, or deceptive practices
Impersonate any person, business, or entity

Violation of this policy may result in immediate account suspension or termination without refund.

10. Third-Party Services

The Service relies on and integrates with third-party providers including Stripe (payments), OpenAI and Anthropic (AI generation), Amazon Web Services (file storage), and Resend (email delivery). Your use of these services through our platform is also subject to their respective terms. We are not responsible for third-party service outages, changes, or discontinuation.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We do not guarantee any specific results from using the Service, including social media engagement, follower growth, or revenue outcomes.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Postrivio SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the 3 months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Postrivio and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service ceases immediately. You may delete your account at any time. Sections relating to intellectual property, disclaimers, limitation of liability, and indemnification survive termination.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the American Arbitration Association rules. You waive the right to participate in class-action lawsuits.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email and/or a prominent notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
